IMPORTANT: Please read these Terms of Use carefully before accessing this website.

These Terms of Use create a legal agreement between you (“Client”) and National Tax Search LLC (“NTS”) that governs the information of NTS made available through this website, the nature of the relationship between Client and NTS, NTS’ use of Client information gathered by NTS through this website and the use of this website, related systems and websites and any information posted therein (collectively, the “NTS Site”). By accessing any portion of the NTS Site, Client acknowledges that he/she has read and understood these Terms of Use and that Client assents to be bound by these Terms of Use which may be amended from time to time by NTS pursuant to the terms herein. If you do not agree to these Terms of Use, you are not permitted to access the NTS Site.

Acceptance of Terms and Conditions

The right to use the NTS Site is subject to the Master Services Agreement entered into by the parties and Client’s compliance with all terms and conditions as set forth herein (the “Terms of Use”). NTS in its sole discretion may modify or revise these Terms of Use at any time and Client agrees to be bound by such modifications or revisions. Although we may attempt to notify you when major changes are made, you should visit this page periodically to review the Terms of Use. In the event of any inconsistency between the Terms of Use and any Master Services Agreement or other contract between Client and NTS, the Master Services Agreement or specific contract shall control. Nothing in these Terms of Use shall be deemed to confer any third party rights or benefits.

Registration

Client must individually register prior to using the NTS Site. Upon registration, whether online, by facsimile or letter with NTS, Client will be assigned a specific internal access code to access the restricted area of the NTS Site. NTS may in its sole discretion provide Client with additional client name/passwords upon request.

Description of the Services

Subject to the terms and conditions of any Master Services Agreement entered into by and between NTS and Client, the NTS Site may provide access to certain information concerning real property ad valorem and non-ad valorem taxes (the “Information”). The scope of the Information provided to Client will be governed by the Master Services Agreement entered into between the parties. The use and access to such services and the Information are governed by these Terms of Use in addition to the relevant Master Services Agreement.

Proper Use

The Client is responsible for maintaining the confidentiality of any passwords or usernames provided by NTS to Client to access the NTS Site. Client is responsible for all activities that occur on the NTS Site using Client’s password and/or username. Client agrees that all use of the NTS Site will comply with all local, state and federal and international laws, rules and/or regulations including any laws regarding the transmission of technical data exported from Client’s country of residence. Client shall not, shall not agree to nor shall Client authorize any third party to (a) obtain Information from the NTS Site with the intent to defame, harass or defraud another individual or organization/entity; (b) transmit or otherwise distribute the Information that infringes upon another party’s intellectual property rights or other proprietary, contractual or fiduciary rights or obligations; (c) prevent other Clients from accessing the NTS Site; (d) use the NTS Site for fraudulent or inappropriate purposes. Violation of any of the foregoing may result in immediate termination of Client access to the NTS Site and the Services and Information. NTS reserves the right, but shall have no obligation, to investigate Client’s use of the NTS Site to determine whether a violation of the Terms of Use or of any term or condition in the Master Services Agreement has occurred or to comply with any applicable law. Client agrees not to copy, reproduce, alter, modify or create derivative works from NTS’ site or any Information posted therein.

Representations and Warranties

NTS takes no responsibility for any Information provided by the NTS Site except as set forth in the Master Services Agreement entered into by and between NTS and Client. All other express or implied warranties are hereby disclaimed.

THE WARRANTIES PROVIDED TO CLIENT IN THE TERMS OF USE AND THE MASTER SERVICES AGREEMENT ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, QUALITY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, AND THOSE ARISING OUT OF USAGE OF TRADE OR COURSE OF DEALING. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY NTS, ITS AGENTS, DEALERS, DISTRIBUTORS, OR EMPLOYEES SHALL INCREASE THE SCOPE OF THE IMPLIED OR EXPRESS WARRANTIES PROVIDED HEREIN. CLIENT REPRESENTS AND WARRANTS THAT: (A) ALL OF THE INFORMATION PROVIDED BY CLIENT TO NTS TO ACCESS THE NTS SITE IS CORRECT AND CURRENT; AND (B) CLIENT HAS ALL NECESSARY RIGHT, POWER AND AUTHORITY TO ACCESS THE NTS SITE.

Payment

Use of the NTS Site by a Client is conditioned upon the timely payment of all fees, charges and other costs as set forth in the Master Services Agreement. Failure to pay as required will result in the termination of the Client’s access to the NTS Site.

Controlling Law and Venue

These Terms of Use shall be construed under and in accordance with the laws of the State of Illinois and any claims, legal proceedings or litigation arising in connection with the use of the NTS Site or Information posted therein shall be brought in the state or federal courts located in Cook County, Illinois and Client consents to both personal and subject matters jurisdiction of such courts.

Confidentiality

Client and NTS each acknowledge and agree that all reports, data, computer systems and other information exchanged between the parties shall remain confidential unless such information is designated as non-confidential. The parties will not provide confidential information to any third parties, except in the case of a lawfully issued subpoena. In the event that one of the parties receives a lawfully issued subpoena, the party shall notify the other party of the issuance of same in sufficient time to allow the other party to review and defend against such subpoena.

Intellectual Property Ownership

All title, right and interest in any intellectual property including, but not limited to, any copyrights, trademarks, patents and trade secrets in and to the NTS Site and the display of all Information posted therein shall remain property of NTS and its licensors and such property rights are protected by US and international copyright laws and treaties, as well as other intellectual property laws and treaties. NTS does not transfer to Client any title to or ownership in, the NTS Site or the display of any Information posted therein or any part of it. All rights not specifically granted to Client by NTS under these Terms of Use are reserved by NTS. Client agrees not to use any robot, spider, or any automated device or manual process to monitor or copy any of the Information from the NTS Site. Client agrees that NTS’ intellectual property ownership rights include rights to: (a) service developed and provided by NTS; and (b) all software associated with the NTS Site.

Assignment

NTS may assign its rights and obligations under these Terms of Use without the written consent of Client. Client may assign its rights under these Terms of Use provided that such assignment is: (a) to the owner of the loans serviced hereby or any successor servicer or sub servicer performing a loan servicing function similar to that presently performed by Client; and (b) pursuant to a merger, consolidation or reorganization.

Term and Termination

Client’s access to the NTS Site and the Information posted therein shall be for the term as set forth in the Master Services Agreement and such access will terminate as provided therein. In addition, Client’s access to the NTS Site and the Information posted therein shall be subject to termination in the event that Client violates any term or condition as set forth in this Terms of Use policy.

Indemnification

Client agrees to hold harmless and indemnify NTS and its subsidiaries, affiliates, officers, members, managers, agents and employees from and against all third party claims arising from or in any way related to Client’s use of the NTS Site or the Information posted therein, including any liability or expense arising from all claims, losses, damages, (actual and consequential), suits, judgments, litigations costs and attorney’s fees of every kind and nature. In such case, NTS will provide Client with notice of such claim, action or suit.

Copyright Notices

If Client believes that any work of Client has been copied in a way that constitutes copyright infringement, Client shall provide NTS with the following information in writing;

  • electronic or physical signature of the persons authorized to act on the behalf of the owner of such work;
  • identification of the copy written work that is alleged to have been infringed upon, if more than one, a representative list;
  • Identification of the material which needs to be removed or altered and a sufficiently detailed description of the location of the protected material on the NTS Site.
  • sufficient means for NTS to contact the Client including, at minimum, the name, address and telephone number of Client.
  • statement by Client that Client has a good faith belief that the disputed use is not authorized by the copyright owner, its agents or the law and that you have authority to make such a statement.
  • statement by Client, under the penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright’s owner’s behalf.

Activity Logging and Cookies

NTS may collect information from Client in connection with the Client’s use of the NTS Site, including but not limited to the use of ‘cookies’, which are small pieces of information stored on Client’s computer. Client may not be able to access the NTS Site nor obtain the Information posted therein unless Client allows cookies to be stored on Client’s computer. By using the NTS Site, Client consents to the use of cookies and activity logging.

Privacy

As a condition to using the NTS Site, Client agrees to the terms of NTS’ privacy policies as they may be updated from time to time.
